Note Lic. smlouva Abstract Diplomová práce "Fúze podnikatelských subjektů" se zabývá fúzí kapitálových společností. Právní úprava je v České republice řešena zákonem č. 125/2008 Sb., o přeměnách obchodních společností a družstev. První kapitola popisuje základní rozdíl mezi fúzí sloučením a fúzí splynutím, rozdělením a odštěpením společností. Další kapitola se zabývá historií vývojových vln v USA a v Evropě. Okrajově je popsán IFRS 3 Podnikové kombinace a rozdílné účetní dopady podle IFRS a US GAAP. Kapitola je také věnována příhraničním fúzím. Další kapitola je věnována analýze problému fúze na vybraném konkrétním příkladu s pozměněnými názvy společností. Jedná se o fúzi sloučení dvou společností s ručením omezeným, je zde popis každé společnosti včetně její historie. Rozebrána je také SWOT a PEST analýza. Nezbytnou součástí fúze je projekt vnitrostátní fúze. Závěr práce je věnován vyhodnocení fúze vybraných společností. Dochází k rozboru finanční analýzy a výsledků společností za období před fúzí a jedním rokem po fúzi. Dle dostupných údajů je fúze hodnocena kladně. Pro přesnější rozbor je potřeba analyzovat fúzi s odstupem více let. The thesis "Enterprise merger" deals with merger of the capital companies. Legal regulations are in the Czech Republic solved by the Low No. 125/2008 about changes of business companies and syndicates. The first chapter describes basic differences between conglomerate merger and congeneric merger, splitting and separation of companies. Next chapter is dealing with development periods in the USA and in Europe. IFRS 3 Company combination and different accounting impacts according to IFRS and US GAAP are marginally described here. This chapter is dedicated also to frontier mergers. The next chapter is dedicated to merger problem analyse in the given particular case with changed names of the companies. There is a merger of two private limited companies. There is given a description of each company including its history. You can find there also SWOT and PEST analysis. Essential part of the merger is the project of national merger. The last part of this thesis is about evaluation of the given companies. You can find studies of the financial analysis there, as well as results of the companies from the period before the merger and one year after the merger. According to the given facts is the merger evaluated positively. For more detailed study there would be needed to analyse the merger in years long interval. Another responsib.
